Ill go with penn also. I never saw alot of sherk fight {only 4} but when i saw his fight w/ diaz where he struggled to take nick down {who isnt exactly known to have a great td defense} i figured that he'll have more trouble taking penn down and if it becomes a striking match imo. sherk has better boxing than penn when it comes to throwing more and throwing combos , but penns power would be the difference {and penn has good boxing aswell}. Now if sherk survives penns early storm and bring it to the later rds then theres a possibility that penn would gassed, but outside of that possibility i dont think sherk can do anything against penn.

Sherk has never lost at 155, he isn't an easy fght for anyone. His conditioning is crazy, his cardio is far better than Penn. It's going to be a very tough fight but I like Penn. If his cardio isn't up to par, he will lose though.

Its a statement.he's never beaten a world champion,just fringe contenders and cans.... but that can all change if he beats Penn.
I think Penn is just on a different level then Sherk, and he's fighting at his prime weight. Penn can get lazy, and he can get out of shape, and that's when he has problems. But if he's fighting at 155, chances are good he's in shape. Sherk's best bet is to get the fight into deep waters and hope Penn gasses like he did against Hughes. But that's easier said then done. My pick is Penn by RNC at the end of the 2nd. But Sherk will give a good showing. TFK
That's how I see it.Sherk just does enough to win decisions and thats not going to cut it against Penn,he needs to bring more to the table than that.
Penn by 4th round submission. He will then vacate the belt and move up to ww to fight you know who. Kenny Florian and Roger Huerta will then fight for the vacated title, with Florian coming out on top.
